Company Legal Policy

Below are some general company policies that may apply to establishing and maintaining business with MCE123, in addition to navigation links on the left to access additional information about specific types of policies.

The company's policies are established in good faith effort to:
  1. protect intelligence, information, and infrastructure that is needed for the operation of the company,
  2. provide valuable services to current and new customers, and
  3. improve service offerings from customer feedback and improved knowledge of the industry.

    Business Relations

      All business relations with the company and the representatives of the company are considered professional.

    Policy Regarding Meetings

      Business meetings requested to take place out of office space designated to a client's business, or the MCE123 offices, requires a 14-day notice for scheduling, and MCE123 reserves the right to cancel a meeting at any time. Business meetings may be denied if they are to occur at public restaurants, fast food, etc. due to the potential of misuse of advertising linking back to the company in association with establishments considered as unnecessary third parties to business meetings. MCE123 employees / representatives reserve the right to cancel appearances at any time without providing a reason.

    Meeting Cancellation Policy

      MCE123 requires at least 14 days advance notice for any cancellation of meetings. Cancelling a meeting within the 14 day time period may result in a meeting cancellation fee equivalent to all of the work that was done for the client during that time period, and the time of the meeting including time designated for travel. Any plane tickets and other fees paid by the company to advance travel arrangements including hotel reservations, may be charged as part of the fee for a cancelled meeting. MCE123 is not required to itemize the meeting cancellation fee.

    Timeframes

      Statements regarding timeframes of MCE123 are the sole decision making authority of MCE123. Any timeframes defined by third parties pertaining to MCE123 are null and void unless if the timeframe pertains to an active contract. MCE123 seeks to fulfill all contracts, and changes to contract terms / requirements under a specific contract may require a change order to be submitted. There may be additional fees for the change order.

    Volunteer Work

      Any volunteer work and subsequent productions for MCE123 are the intellectual property of MCE123. While MCE123 may allow volunteer work to occur, MCE123 cannot endorse the volunteer work on behalf of the volunteer prior to the intellectual property having been created and certified as the quality that is expected of MCE123. Volunteer work may lead to employment from MCE123; however, there are requirements for employment by MCE123 and volunteering for the company does not guarantee that employment will be provided. MCE123 reserves the right to deny volunteer work, and the volunteer does not have intellectual property rights of MCE123. There are terms that establish that volunteers must not discuss volunteer work for MCE123 unless if MCE123 authorizes that a specific volunteer can discuss a specific volunteer project. MCE123 is a for-profit company, and the non-profit volunteer aspects, such as internships, are not directly connected to the for-profit aspect of the entity. Volunteer portions of the entity include the Policy Research Center, and each person that wishes to volunteer for MCE123 must be granted permission to volunteer, and the granting of permission does not certify volunteer work that has not occurred and cannot be certified.



Search Engine Policies

    • There shall be no search engine listings that link to DNS lookup resources, valuation of domain names, and/or valuation of the company.
    • There shall be no third-party listings of information in the search engine listings pertaining to the company that was not specifically authorized by MCE123 to be re-listed, such as repetitive links and/or unauthorized mirroring of information belonging to the company.
    • When searching for MCE123, there shall be no information in the context of "related" search engine listings that links to third-party companies that have no legal affiliation with MCE123, such that the algorithm of developing the relations within the search engine software is contrary to the policy of the MCE123 Wordmark and the search engine software would need to be corrected to filter out the relational algorithm that links to non-related entities.
    • Search results when searching for any of the MCE123 Services may reference Client Works under the results of pages of the MCE123 Website that pertain to the respective service of the search term, whereas the Client Works pertain to the service of the search term as defined by the reference of the Client Works on the page(s) that pertain to the listings of Client Works for the respective service.
    • Search results when searching for any service that includes the term MCE123 may not include advertisements for competitors, such that the use of the Service Mark with the service names such as "Website Design" does not authorize advertisements / links to be referenced of competitors arising from a search including the MCE123 Service Mark.

    Communications Policies

      Communications with persons working for MCE123, the mentioning of names of products / services, the mentioning of department names, and/or the mentioning of the names of persons working for MCE123 does not establish a legal contract. A legal contract is only established when a party enters into agreement, in writing, with MCE123, and provides the necessary payment(s) on time in addition to any information that is required for the products / services to be provided by MCE123.

      • Failure of client, prospective client, and other parties that perform business with MCE123 to provide all of the necessary information required for MCE123 to fulfill contracted or would be contracted obligations is not the legal liability of MCE123.

      Avoid delayed responses to indirect communications. An example of this is when people refer to an e-mail that was sent prior to a meeting taking place, not necessarily prior to a first meeting; however, the delay of time in-between the meeting and the electronic communication establishes a window of time that political and metaphorical / metaphysical activities may occur that merge the lives of the two contacts by their surroundings. This occurs often because at least one of the contacts is insecure and not familiar with privacy and IP laws. Since the window of time may overlap with other communications and business transactions, the insecurity can lead to distractions in business, and that is why delayed responses must be avoided in addition to maintaining confidentiality over communications.

      Avoid making indirect responses, such as talking about an e-mail you received from one person by discussing the e-mail with another person, in proximity to the sender. This is referred to as an exclusion by an intentional violation of confidentiality, the violation of privacy, and the dissemination of the information in the form of a political attack.

      Avoid talking about subjects with one person in proximity to another person in the attempt to get their attention / probe for information.

      Avoid strategic delays of communications. By definition, strategic delays of communication do not establish a legal record, or in other words attempts to obstruct the operations / growth of MCE123 by withholding information or stringing communications that do not pertain to MCE123.



    Service Policies

      Website Administration is a combination of multiple services, including managed hosting, search engine optimization, and website updates.

      • The limitations of hours, based on service level, can be a combination of search engine optimization and website updates; however the definitions of the services are separate.
        • Search Engine Optimization may benefit from website updates, while the search engine optimization is primarily regarding the source code of the META tags, the management of the search engine portals, and other aspects that are specific to the search engines.
      • The limitation of the hours is overall, not itemized.
      • Use of the term "Administration" pertains to a combination of multiple services with oversight to ensure the right combinations of services to move the client's website forward.

      Marketing Management services are separate from other services that may use the term "Managed", such as "Managed Hosting", since the hosting service management is IT related in the context of the customer.

      Online Marketing services are only a very small part of Marketing Management, and the management of IT services online does not necessarily constitute work that correlates to Marketing Management.

      The Marketing Management has a greater responsibility of the client account and ensuring performance results.

      When a client purchases a marketing service, the purchase of the service does not correlate to Marketing Management, since the service is purchased separately or in conjunction with Marketing Management services.
      • Marketing Management and marketing services are billed as separate services.

      Each account is a separate account. There may be instances that multiple accounts exist for the same client, while this may be transparent to the client.

      The business dealings of one client do not pertain to the business dealings of another client, as it pertains to business with MCE123. By definition, this means that the business within MCE123 pertaining to different clients does not correlate to other clients, unless if the structure of the relations between multiple clients is defined and authorized by legal authority from the entities.
      • Any changes to the structure must be agreed upon by all parties.
      • The contract of structure may be cancelled in full by any of the parties at any time, including MCE123.
      • There may be additional fees associated with establishing legal definitions of organized structures, including marketing research and planning, and legal work.
        • There may be an on-going maintenance fee to maintain the organizational structures applicable to benefitting business.

      Any promotions, discounts, limited time offers, coupons, and other deals provided for specific accounts are provided solely for the accounts that apply to the offer.

      Promotions, discounts, coupons, and other deals are for a limited time and may be discontinued at any time in the future without further notice.

      Rates are subject to change at any time pursuant to internal decisions regarding the company.

      Prices of services are as posted on the website. Comments by person(s) and/or entity(s) that are not officials of MCE123 should follow the pricing guidelines established on the MCE123 website, located at www.mce123.com.

      Inquiring about one service and then choosing another service does not entitle the customer to IP rights of the other service that was not ordered simply due to the inquiry and payment to the entity. Each service, and subsequently each level of service, is a separate entity within the company.

      The purchase of a service by a customer is a contract to provide the service, as defined by the contract, not the purchase of IP rights to the service entity.

      The entity of a service provided by the company is not for sale.

      Forward-looking statements regarding services do not provide any guarantee of services. Providing the services must pertain to an active contract, and the account must be in good financial standing.

      Each respective project and service is a separate item in regards to billing, unless if the service provided is:
      1. Maintenance contract that combines multiple services. With maintenance contracts, the limitations of the contract are defined by what is available in the contract for the client, or
      2. Project of combined services, such as a website design project that does not itemize the costs for labor due to the rate being a special, or otherwise below what would normally be charged at the hourly rate(s). Projects of combined services may also apply to intellectual property, where there are records stored internally that pertain to a client account, while the creation and storage of internal information does not necessarily establish a legal contract for services if no payment was received.

      Programming languages that were invented by third parties may be used as part of providing a service, while the programming languages themselves are not transferrable property, such as the English Language. How the programming languages are used may pertain to intellectual property that is the property of MCE123, such that the knowledge and experiece to develop the uses of the languages pertained to an investment of time and money. The languages may include: CSS (W3C Compliant), HTML (W3C Compliant), JavaScript, Perl / CGI, PHP, XML, ASP, and vCard. There may be other programming languages used, while this legal notice is to define how the languages pertain to providing some types of services, and how intellectual property may pertain to developments that required an investment of time and/or money by MCE123 investors.

      MCE123 Technology Development Services Policy

        Do not refer to MCE123 Technology Development Services in the context of sexual threats, or in any way sexually threaten employees or other persons in the context of the technologies, such as referring to nuclear science as the "Big Bang" in any context of the company, its employees, its clients, or any other persons affiliated with the company in any professional context. Additionally, MCE123 Technology Development Services are isolated from other services. Clients of one type of service are not affiliated with clients of another service, and intellectual property such as inventions do not relate to other projects by default.

        The MCE123 Technological Division is focused on scientific research and inventing based on knowledge of technologies and physics. The MCE123 Technological Division is not part of any political research, such that the scientific research and development is based on intelligence rather than generalizing original ideas based on organizations of other concepts that are external to MCE123.

    Powers of the Company Founder

      The Company Founder may define legal policies on an on-going basis to improve the organization in the capacity of representing the company as a legal client. The Company Founder may use the term MCE123 in the definition and development of policies and other materials for the company, and to professionally refer to his works with the company. There are limitations of how the Company Founder's use of the term may be interpreted, and there are limitations that separate the Company Founder's personal career, education, and personal romantic life from the company, such that the personal aspects of the Company Founder are not automatically inherited by MCE123. The entity of Patrick Russell McElhiney is separate from MCE123, and while works may be developed by the Company Founder for MCE123, the works are not part of the entity prior to an approval process that determines the relevance of how the works fit into the organization, and how the organization will change to incorporate various works together as an entity that is growing separately from the natural entity of Patrick Russell McElhiney.

      Any powers of attorney of the Company Founder, ceded to the Company Founder due to complete ownership and internal documentation of legal processes, does not automatically originate any powers of attorney to the natural entity, such that the title of "Company Founder" is in the context of the company and not of the person. Any legal processes targeting the Company Founder personally or professionally will not affect the company, and the company will protect the Company Founder in any such cases. Any legal processes targeting the company will not affect the Company Founder, and the Company Founder will act to protect the company. The legal authorities of the company originate from the entity. Uses of legal powers by third-parties targeting the company and/or the Company Founder would be considered trespassing on the legal authority originating from the entity; therefore the entity has the home court advantage to study all cases in depth prior to making decisions of how to respond.
